Terms & Conditions

The terms and conditions contained herein (“T&C”) contain the complete terms and conditions that apply to a Client/User and govern the Client's access to and use of the Service(s). Some of the Services may require the Client to agree to additional terms and conditions. Unless otherwise provided, those additional terms shall be deemed to be incorporated into these T&C.

Definitions

Unless repugnant to the context, the terms used in these T&C have the following meaning:

  • “Client”/“User” — In case of an individual, any person above the age of 18 years who has an account on the Platform; in case of entities, any entity who holds an account on the Platform, and who may access the Platform through its representatives or authorised officials.
  • “GreatKapital” — The website www.greatkapital.com operated by Ventura Trading Private Limited.
  • “Counterparty” — Any person with which the Client enters into or may potentially enter into any arrangement, contract or agreement with, pursuant to or by way of the Services or the Platform.
  • “Force Majeure Event” — Includes any act, event or omission beyond the reasonable control of Great Kapital, including acts of God, state action, technological failure, cyber-crimes, war, riots, epidemic, pandemic, changes in laws, or any similar cause.
  • “Platform” — The platform launched by Great Kapital for offering Services to the Client.
  • “Service(s)” — The services offered by Great Kapital through the Platform, including facilitation of interaction between the Client and Counterparties to enable transactions.

General

  1. By using the Platform or availing the Services in any way, the Client is deemed to have read, understood and accepted these T&C as well as any privacy policy or other policy available on the Platform.
  2. The Client acknowledges that by accessing and using the Platform and availing any of the Services, it agrees to be bound by the T&C. These T&C establish a contractual relationship between Great Kapital and the Client.
  3. In the event the Client is not agreeable to the T&C, it shall not access the Platform or avail the Services.
  4. These T&C expressly supersede all prior agreements or arrangements between Great Kapital and the Client.
  5. The Client understands that access to the Platform and the offer of Services is conditional upon the Client's irrevocable consent and acceptance of all terms contained herein.

Representations of the Client

  1. The Client represents that it is lawfully able to enter into contracts (if an individual) or has the legal authority to enter into contracts on behalf of the body corporate.
  2. The Client acknowledges that Great Kapital is merely providing a platform for facilitating transactions between the Client and Counterparties and shall in no manner be liable for any such transactions.
  3. The Client acknowledges that any use of the Platform and availing of the Services is at the sole risk of the Client.
  4. The Client warrants that it has all necessary licenses, rights, consents, and permissions to upload, transmit, or publish data on the Platform and grants Great Kapital express license to use such data for the Services.
  5. The Client agrees it is solely responsible to Great Kapital and any Counterparty for any breach of its obligations under these T&C.

Use of the Platform and/or Services

  1. To access the Platform, the Client must register and create an account by providing accurate and complete information. Great Kapital is not responsible for verifying the accuracy of such information.
  2. Great Kapital reserves the right to reject any account creation request if the data appears incomplete, incorrect, or fraudulent.
  3. On account creation, Great Kapital grants a non-exclusive, limited privilege to access and use the Platform, subject to compliance with these T&C. The account is non-transferable.
  4. The Client is solely responsible for its account and must keep log-in credentials secure at all times. The Client shall promptly notify Great Kapital of any unauthorised use.
  5. Use of the Platform and Services is only for purposes permitted by these T&C and any applicable law.

General Undertakings of the Client

  1. The Client agrees to access information on the Platform only through authorised access provided by Great Kapital.
  2. The Client shall not use unauthorised means, including deep links, automated devices, algorithms, or hacking, to access or copy any part of the Platform.
  3. The Client shall not attempt to gain unauthorised access to the Platform, its servers, or any connected database.
  4. The Client shall not introduce any bugs, viruses, worms, malware, spyware, or similar harmful programs.
  5. The Client consents to Great Kapital running requisite checks with Credit Bureaus on the Client, its promoters, directors, and key personnel.
  6. The Client further undertakes not to: impersonate any person; publish malicious files; engage in activity that disrupts Platform access; interfere with Platform security; upload infringing materials; use the Platform for fraudulent or unlawful purposes; or violate any applicable laws.

Confidentiality

  1. The Client acknowledges that any information available through the Platform — including names, assets, transaction records, business information, databases, and other data — constitutes Confidential Information of a sensitive nature.
  2. The Client undertakes to keep all Confidential Information confidential and shall ensure that none of its employees, agents, or representatives breach this obligation.
  3. Confidential Information may be disclosed only to: employees or contractors on a need-to-know basis; regulatory authorities as required by law; or any other party with Great Kapital's prior written consent.
  4. The Client agrees to protect Confidential Information against misuse, loss, destruction, or alteration, and not to commercially exploit it.

Limitation of Liability

  1. Great Kapital will not be liable for any special or consequential damages, interruption of use, or loss or corruption of data.
  2. Great Kapital shall not be liable for: faulty system operations; damage from information not being received promptly due to technical faults; loss from bugs, viruses, or malware; failure to perform due to events outside its reasonable control; or breach of T&C by any Counterparty.
  3. Great Kapital is not responsible for any indirect losses including loss of income, business, profits, data, or injury to reputation.
  4. Great Kapital is not responsible for any loss arising out of the use of the Platform or inability to use it, or for any delay caused by a Force Majeure Event.
  5. The liability of Great Kapital towards a Client shall in any event not exceed INR 1,000.

Transfer of Rights

  1. These T&C are binding on the Client, its successors, and permitted assigns. The Client may not transfer or assign any rights without prior written consent of Great Kapital.
  2. Great Kapital may transfer, assign, sub-contract, or dispose of any of its rights or obligations at any time without notice to the Client.

Security of Data

  1. All facilities used to store and process data adhere to reasonable security standards. Great Kapital has implemented industry-standard systems to ensure the security, confidentiality, and integrity of transaction data.
  2. The Client grants Great Kapital permission and a non-exclusive right to store and transfer its data as part of the Services.
  3. Great Kapital does not claim any ownership or intellectual property rights outside the scope of what is necessary to provide the Services.
  4. Great Kapital reserves the right to perform statistical analysis of Platform activity for product and service development purposes. Analytical data collected is for internal use only.

Intellectual Property

  1. The Platform and its arrangement — including all text, graphics, user interfaces, visual interfaces, and computer code — is owned by Great Kapital and protected by copyright, patent, and trademark laws.
  2. Trademarks, logos, and marks displayed on the Platform are the property of Great Kapital or respective owners. The Client shall not use any marks without prior consent.
  3. In the event of infringement, Great Kapital may deny the Client access to the Platform.

Communication with Counterparties

  1. Great Kapital does not control and is not responsible for any information or communication between the Client and Counterparties.
  2. The Client acknowledges that communications received from the Platform are automated and Great Kapital is not responsible for inaccuracies therein.
  3. Great Kapital does not endorse, guarantee, or assume responsibility for Services offered by Counterparties and will not be party to any transaction between them.

Taxes

  1. The Client shall be responsible for identifying and paying all taxes, duties, cess, and other charges payable with respect to transactions through the Platform.
  2. Great Kapital will not be liable to pay any taxes payable by the Client to any governmental authority.

Modification of T&C

  1. Great Kapital has the right to revise, modify, amend, or discontinue any of these T&C from time to time without obtaining approval from the Client.
  2. The Client is deemed to be aware of the latest T&C. Use of the Platform subsequent to any modification constitutes acceptance of the modification.

Suspension and Termination

  1. Great Kapital does not guarantee uninterrupted access to the Platform. Access may be disrupted for Force Majeure Events, repair, maintenance, or upgrades.
  2. Great Kapital shall not be liable for any losses due to suspension of Services or inability to cure such events.
  3. Great Kapital has the right to temporarily or permanently disable the Client's account without cause or notice, and may block access or cancel outstanding transactions.
  4. Great Kapital reserves the right to restrict, suspend, or terminate the Platform completely at its sole discretion.
  5. All provisions which by their nature should survive termination shall survive, including ownership, warranty, limitations of liability, confidentiality, disclaimers, and indemnity.

Warranties

The Platform is provided on an “as is” and “as available” basis. Great Kapital hereby disclaims all warranties of any kind, express or implied, including without limitation the warranties of merchantability, fitness for a particular purpose, non-infringement, availability, accuracy, completeness, security, or reliability of the Services and/or any data uploaded, used, or transmitted on or through the Platform. The Client uses the data and/or Services at its own discretion and risk.

The information contained in the Platform is provided on an “as is” basis. The accuracy of information is the sole responsibility of the issuer. Given the changing nature of laws, rules, and regulations, there may be delays, omissions, or inaccuracies in information. Great Kapital is not engaged in rendering legal, accounting, tax, credit/investment, or other professional advice. Such information should not be used as a substitute for consultation with professional advisers.

Great Kapital will not be liable for any interactions between the Client and Counterparties on the Platform. These interactions are solely between the Client and the Counterparties, and Great Kapital merely provides a common platform to facilitate such transactions.

Indemnification

The Client agrees to indemnify and hold harmless Great Kapital (including its directors, employees, representatives, and agents) against any and all losses, liabilities, damages, judgments, costs, expenses, claims, fines, penalties, proceedings, or demands incurred as a result of the Client's use of the Platform or Services, including violation of these T&C.

Governing Law and Jurisdiction

These T&C are governed and construed in accordance with the laws of India. The Client hereby submits to the exclusive jurisdiction of courts and tribunals at Bangalore, India, and irrevocably waives any objection to such jurisdiction.

Severability

Every provision in these T&C is severable. If any provision is or becomes invalid, illegal, or unenforceable, the validity, legality, and enforceability of the remaining provisions shall not be affected.

Waiver

Neither the failure to exercise nor any delay in exercising any right or remedy under these T&C shall operate as a waiver thereof. No single or partial exercise of any right shall prevent any further exercise thereof.

Miscellaneous

  1. By accessing the Platform, you agree to receive communications regarding your registration or Platform Services (including promotional and transactional messages) through email, SMS, electronic medium, third-party channels, or WhatsApp from Great Kapital.
  2. When you browse the Great Kapital website, we use cookies and/or pixel tags to collect information and store your online preferences. You may choose to not accept cookies through your browser settings, though this may limit certain functionality.
